Unicommerce obtained full control of Shipway to bolster its SaaS-based ecommerce solution capabilities. The transaction enables stronger capabilities among logistics and marketing automation systems.
Animmerce the listed SaaS platform completed a share swap agreement to acquire total ownership rights of 57.24% in shipping solutions company Shipway. The business acquisition process should finalize within fifteen days thus making Unicommerce become Shipway's sole ownership entity.
Unicommerce published an exchange filing which revealed that the company would distribute 60.3 lakh shares to founders Vikas Garg and Gaurav Gupta and shareholder Puneet Gupta of Shipway in exchange for 7,610 equity shares of Shipway. The agreement needs regulatory approvals before its implementation.
Unicommerce outlined how the acquisition supports its plan to build SaaS-based ecommerce enablement services by strengthening customer relations at each step from purchasing to ownership. Shipway established itself in 2015 through its shipping solutions and marketing technology capabilities under ConvertWay which uses AI to enhance courier allocation and target customers better.
The SaaS firm made its first investment of INR 68.4 Cr by acquiring 42.7% ownership in Shipway in November 2024. The same year IndiaMART InterMESH made a second investment into Shipway when the company acquired a 26% ownership stake worth INR 18.2 Cr.
The company Unicommerce made adjustments to its articles of association to enable SoftBank and B2 Capital investors to recommend directors who will not be part of executive management. The firm has experienced a wave of managerial departures involving three of its senior executives.
The profits of Unicommerce's SaaS operations grew by 62.1% during Q3 FY25 and reached INR 6.29 Cr while the revenue climbed by 26% from the previous year to INR 32.74 Cr.
